Terms and Conditions Definitions: Authorized Distributor means: pharmacies, drug stores, nutritional supplement wholesalers, health food stores, foreign pharmaceutical distributors, physician offices, individuals interested in operating a “DiakPharmaceuticals Local Store”. Local stores will be setup to our specifications although operated independently by the Authorized Distributor. Appointment: DiakPharmaceuticals or its agent appoints the Authorized Distributor and the Authorized Distributor accepts appointment as a non-exclusive independent agent or business entity authorized to sell our products on the terms and conditions contained in this document. Relationship of Parties: The Authorized Distributor constitutes neither a franchise nor an exclusive distributorship, and absolutely no fees will be required for the agreement. The agreement between the parties is not intended and shall not be construed to create a relationship of employer-employee, agency, partnership, or joint venture between any Authorized Distributor and DiakPharmaceuticals. Responsibilities: The Authorized Distributor or Business Entity agent must of legal age in the geographical location in which she/he plans to operate, and will provide DiakPharmaceuticals with a valid tax identification number. The Authorized Distributor will build and maintain “DiakPharmaceuticals Local Store” (her/his) own business) at no cost to DiakPharmaceuticals, although “DiakPharmaceuticals Local Store” will be setup to our specifications. “DiakPharmaceuticals Local Store” is an independently owned and operated business entity. DiakPharmaceuticals will charge no fees to sign up a candidate as an Authorized Distributor. The Authorized Distributor agrees not to make any false or fraudulent representations about DiakPharmaceuticals products. The Authorized Distributor shall make no unsubstantiated claims as to the therapeutic properties of our products. Only DiakPharmaceuticals products and products approved by DiakPharmaceuticals can be displayed or sold in a “DiakPharmaceuticals Local Store”. The Authorized Distributor or Business Entity is responsible for any taxes or duties required by law, including but not limited to applicable income tax, sales tax, social security and unemployment contributions or other tax, license or fee rising out of the Authorized Distributor’s activities. The Authorized Distributor will keep all proper records as necessary to ensure the proper assessment and payment of any such taxes or duties. Termination: The Authorized Distributor agreement may be canceled at any time and for any reason by either the Authorized Distributor or DiakPharmaceuticals. Either party must notify the other in writing of the decision to cancel. Termination of the agreement shall not operate as cancellation of any indebtness owing to one party by the other at the time of such termination. On termination, the Authorized Distributor and DiakPharmaceuticals shall render an accounting to each other.
